Why do I need a registered office address?


All limited companies are legally required to have a registered office address. Statutory mail will be sent here and the address details will be displayed on public record.




Why does my company have to be registered with Companies House?


Companies House is the registrar of companies in the UK. It is a legal requirement for all limited companies to register with Companies House.




Do I have to be a UK resident to form a company?


You are not required to be a UK resident in order to register a limited company.




What details are required to set up a limited company?


You must have a registered office address, details of all directors, shareholders, people with significant control, and also secretary details (if required).




What are the Memorandum and Articles of Association?


The memorandum of association is a company formation document containing the details of a company’s original members (shareholders or guarantors) and their intention to form a company. Any share details will also be included here.
The articles of association prescribe the internal management, rules and regulations of a company and its liability. Together, these documents form the foundation of the company’s constitution.




Do I have to pay additional fees to Companies House?


No. If you register through RMS the £12.00 filing fee charged by Companies House is included in the formation package price.




What happens if my application is rejected by Companies House?


Occasionally, this may happen, and it is typically due to an unsuitable company name or incomplete information on your application. Don’t worry – these issues can be easily resolved and you will be given the opportunity to re-submit your online application with the correct details or upload supporting documents and evidence. Our client support team is also on hand to guide you through this process and provide assistance.




How and when do I receive my new company documents?


As soon as Companies House approves your company registration, you will receive electronic copies of your Certificate of Incorporation, Memorandum and Articles of Association and Share Certificates for all shareholders.




Do I need to be present during the company formation process?


No, you can complete the entire process online without leaving your office or house! Your new company documents will be emailed to you in PDF format on the day of registration.




Is the director's home address publicly available?


A director’s home address will be private, but their service address will be publicly available. When registering a company, a director must submit their home address and a service address.
That’s why most company directors prefer to use our virtual address service, allowing them to hide their private address from the public.




What are the advantages of registering a limited company in the UK?


The cost and speed of incorporating in the UK is much lower than in most other countries. It can take just a few hours to register a UK company. There are no minimum capital requirements and you do not need a lawyer, accountant, magistrate or notary to form a company.




What do I need to know when choosing my new company name?


If you are registering a new private limited company, you must choose a unique name for your business. Your company name must end with either “Limited” or “Ltd”.




What is a person of significant control?


Any person who owns more than 25% of the company is a person of significant control (PSC). This person must meet the following conditions:
* They own more than 25% of the company’s share
* They hold more than 25% of the company’s voting rights
* They hold the right to appoint or remove the majority of directors
* They have the right to exercise significant influence or control or already do so




What is the eligibility for registering a UK company?


Any person above the age of 16 can set up a UK limited company. It is not mandatory for directors or shareholders to be UK residents, but the company’s registered address must be in the UK.




When will I get confirmation of my new company formation?


We will typically register your new company within three to six hours of you submitting your online application. This turnaround time is dependent on how busy Companies House is on that day. You will receive the official paperwork via email as soon as your company is registered at Companies House.
